1. Scope of application, contractual partner, conclusion of contract

These General Terms and Conditions apply exclusively to the conclusion of contracts between the service provider, Silverspot Trading GmbH, District Court Berlin, HRB: 173334B (hereinafter: ``Silverspot Trading``) and the service recipient also buyer or customer. The contracts are concluded exclusively in German or English. If the buyer has purchase conditions, these, insofar as they deviate from the present conditions here, are not binding on Silverspot Trading, unless this has been confirmed in writing. If an article, or part of it, of these terms and conditions is declared invalid, this will not affect the validity of the remaining articles or parts thereof. The prices that can be seen in the catalog serve to orient the customer. Deviations of these are not excluded. All offers submitted by Silverspot Trading are subject to change and non-binding, unless otherwise agreed in writing. Otherwise, the contract is concluded by a written order confirmation. Until this time, the prior sale is reserved. Silverspot Trading has the right to have the contract executed in whole or in part by third parties, unless expressly agreed otherwise in writing.

2. Data storage

Silverspot Trading collects, processes and uses the personal data to the extent necessary for the provision of its services and the execution of the contract. In the case of orders, data (name, address, e-mail address, telephone number, etc.) are collected and stored. This primarily serves as proof of the conclusion of the contract and the use of the service. Personal data will only be passed on or otherwise transmitted by Silverspot Trading to third parties if this is necessary for the purpose of contract processing or for billing purposes or if the consumer has previously consented. The latter has the right to revoke a given consent with effect for the future at any time.

3. Payment

The statutory value added tax is not included in the prices quoted in the catalog. For offers/invoices or similar, these are listed separately. Shipping costs are not included in the displayed price for the corresponding goods and may be incurred additionally. In offers, the placeholder ``Prices plus shipping costs`` is used.

The following payment options are available to the customer:
Transfer
After order confirmation, you can find our bank details of these as well as our invoices. Please indicate your invoice number as the reason for the transfer. The purchase price is due immediately after receipt of the bank details, unless otherwise noted on the order confirmation/invoice.

PayPal
To use the payment service provider PayPal, you need a PayPal account. You open a PayPal account or log in to PayPal with your access data and confirm the payment order for the invoice amount. We will then retrieve the invoice amount from your PayPal account after conclusion of the contract. If you select this payment method, delivery is only possible to the delivery address stored in the PayPal account.

4. Delivery, delivery restrictions

The delivery time of the purchased goods depends on the respective item and is stated separately in the offer. In the case of contractually agreed advance payment, the period begins to run on the following day of receipt of payment. For individualized products, the period begins after confirmation of the correction deduction and (if payment is agreed in advance) receipt of payment. The same applies to release samples for mass production (pre-production samples). If a product ordered by you is not available at short notice or the promised delivery time is delayed, the customer will be informed by e-mail by Silverspot Trading. Force majeure relieves Silverspot Trading of its obligations to the buyer. Force majeure exists when Silverspot Trading is prevented from fulfilling its obligations or preparing them, due to circumstances beyond the control of Silverspot Trading. This includes, but is not limited to, wars, strikes, epidemics, fires, traffic problems, weather conditions, loss or damage during transport, accidents or illnesses of personnel, import restrictions or other measures by the government, public holidays, machine failure and failure of means of production. If the non-compliance with deadlines is due to force majeure or events not attributable to Silverspot Trading, the deadlines are extended by the times during which the aforementioned event or its effect persist. If a delivery is made completely impossible, the statutory withdrawal regulations apply. Silverspot Trading is entitled to supply the customer with quantities of goods with a deviation of 5% in both directions (upper and under-production). The customer is obliged to pay for the actual quantity of defect-free goods received.

5. Transfer of danger

The risk of accidental deterioration or accidental loss of the ordered goods lies with Silverspot Trading until the goods are handed over and passes to the customer with the handover.

6. Retention of title

Until the purchase price is fully received, the property of the goods Silverspot Trading remains.

7. Warranty

The statutory warranty regulations apply.

8. Statutory right of withdrawal

The statutory right of withdrawal applies exclusively to customers within the EU member states.

9. Applicable law, place of jurisdiction

The law of the Federal Republic of Germany applies to the conclusion and processing of all contracts to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). In the case of customers, this choice of law applies only if the protection granted is not restricted by mandatory provisions of the law of the state in which the customer has his habitual residence. In business transactions with merchants and legal entities under public law, our registered office in Berlin is the exclusive place of jurisdiction for all disputes resulting from the contractual relationship. Our right to appeal to the court at another legal place of jurisdiction remains unaffected.
